Role Overview
We're looking for a sharp, commercially-minded Senior Commercial Counsel to join our growing Legal team. You'll be the go-to lawyer for the full spectrum of commercial legal work — owning our contract lifecycle, advising on deal structure, and partnering closely with Supply Chain, Partnerships, Product, and Finance to move the business forward without unnecessary friction. This is a high-impact, high-autonomy role where you'll be a true business partner and advisor.

What You’ll Do
Commercial Contracting
Own end-to-end negotiation and drafting of commercial agreements including MSAs, vendor contracts, NDAs, and SOWs
Create and continuously improve our contract templates and standard playbooks to enable faster deal cycles
Lead the implementation and rollout a CLM platform, including workflow configuration, template migration, and internal adoption
Licensing
Draft and negotiate inbound and outbound software licensing, data licensing, and API agreements
Advise on licensing structures and risk allocation in commercial deals
Partnerships & BD
Support strategic partnership negotiations including term sheets, reseller agreements, co-marketing arrangements, and integration agreements
Advise business development and executive teams on deal structure and commercial terms early in the process
Compliance & Risk
Identify and escalate legal risks in commercial arrangements, proposing practical mitigations
Advise on data privacy considerations (GDPR, CCPA) in customer and vendor contracts
Maintain awareness of relevant regulatory developments and advise the business proactively
Operational Excellence
Build and refine scalable legal processes, self-service tools, and training for internal teams
Who You Are
J.D. with an active license to practice law in the United States
15+ years of experience in product liability, regulatory, or technology law
Experience advising on safety-critical systems (e.g., robotics, autonomous vehicles, aviation, medical devices, or consumer hardware)
Strong understanding of AI/ML systems, cybersecurity risks, or complex technical products
Experience supporting incident response, investigations, or safety-related disputes
Proven ability to work cross-functionally with engineering, legal, and executive teams
Comfortable operating in ambiguous, fast-moving, and novel technical environments

Compensation and Benefits
Salary Range: $200 - $250K base + meaningful equity
